Gift Shop Consignment Agreement

In  consideration  of mutual  promises  the  Artist  and Vernon  Filley  Art Museum  Foundation  d/b/a  Vernon Filley Art Museum Gift Shop (hereafter Gift Shop) agree as follows: 

1) CONSIGNMENT:  The Artist has provided examples of his/her work for judging and the Gift Shop has approved individual works to be on display for sale in the Gift Shop. 

2) EXHIBITION AND PROMOTION:  The Gift Shop agrees to exhibit the Works in the Gift Shop as to promote the sale of each piece, and to use its best efforts to sell the Works.  

3) AGENCY:  The Artist appoints the Gift Shop as its agent. The Gift Shop accepts this agency appointment by the Artist for the purpose of exhibition and sale of the Work for the duration of this  consignment. 

4) WARRANTY BY THE ARTIST: The Artist warrants that all of the Works are original creations of the Artist. The Artist possesses all legal rights in the Works.  Artists who copy another work of art  must  title  the  resulting  work  as  “A  study  after  .  .  .”  which  must  be  so  stated    All  prints  photographically reproduced must be so stated.   

5) OWNERSHIP:  Ownership of each piece remains with the Artist until the Work is sold. 

6) CONDITION OF WORKS:  All Works shall be in excellent condition and properly mounted for display.  If prints, mounting and framing are not Archival the Artist will so state in writing.   

7) DURATION OF CONSIGNMENT:  The duration of the consignment of the Work will be for a period  of  6  months,  unless  otherwise specified  for  individual  pieces.    This  Agreement  and  all  consignments  shall  terminate upon  the  death  of  the  Artist.    Either  party  may  terminate  the  consignment  of  a  particular  Work  or  Works,  or  this  entire  Agreement  upon  written  notice  to  the  other party. 

8) REPLACEMENT:   If a piece is sold, another original Work by the Artist may be submitted to the Gift Shop Committee. Each new piece will be juried before acceptance.   

9) DELIVERY AND PICKUP:  Packing and shipping expenses, insurance and risk of loss incurred in  delivery  of  the Works,  both  to Gift Shop and  back  to  the Artist  shall  be  the  responsibility of  the  Artist. 

10) RESPONSIBILITY FOR LOSS OR DAMAGE:  During  the  term of  the consignment,  the Gift Shop shall be responsible for the safekeeping of all the Work consigned while in possession of it.  The  Gift Shop shall be liable to the Artist for any damage to or loss of any Works, for any reason, with or  without fault, not to exceed the amount the Artist would have received had the Works been sold.   

11) PRICING:  The Gift Shop shall offer the Works for sale at the prices set by the Artist.  The Gift Shop is not authorized to negotiate any price without the express written consent of the Artist.  No Work shall be sold and delivered without payment in full.

12) COMMISSION:    The  Gift  Shop  shall  be  entitled  to  receive  a  commission  of  30% of  the seller’s price of each of the Works.  The Gift Shop shall tender payment of the Artist’s portion from  the sale of Works within __30______ days of the sale  

13) COPYRIGHTS:    The  Artist  holds  the  copyright  of  the  Works  and  reserves  all  right  to reproduction.    The  Gift  Shop  may  photograph  Works  only  for  promotional  purposes  and  in  each  instance the Artist will be acknowledged as the creator of the Work.  

14) MAINTENANACE AND INSPECTION OF BOOKS AND RECORDS:  The Gift Shop agrees  to maintain  books  and  records  in  the  ordinary  course  of  business,  showing  all  activities  involving  the  Works and  to provide an accounting upon  request.  The Artist shall have  the  right  to inventory  the  consigned Works and to inspect any books or records directly pertaining to sale of the Works.  

15) MISCELLANEOUS PROVISIONS: 

a. This Agreement represents the entire agreement between the parties. 

b. If any part of the Agreement is held to be illegal or unenforceable such holding will not affect the validity of the balance of the Agreement.  

c. This  Agreement  is  not  assignable  by  the  Artist  or  the  Vernon  Filley  Art  Museum Foundation.  

d. Only written modifications signed by both parties shall be valid. 

e. This Agreement shall be covered by the laws of the State of Kansas. 

16) Addendum to the Vernon Filley Gift Shop Consignment Agreement 

The original agreement needs to be amended as follows:  

a. Consignment artwork by artists represented by The Filley Art Museum will be advertised for sale online through the Museum website.  

b. The Filley Museum will be responsible for maintaining a page for each selected artist and will use the museum advertising vehicles for promotion. 

c. The museum will process payment for sales initiated online in accordance with the gift shop consignment agreement 

d. The commission will be negotiated with each artist and recorded here. The Filley Museum shall be entitled to receive a commission of _30_% of the seller’s price of each of the works. The Filley Museum shall tender payment of the Artist’s portion at the end of each month, unless otherwise agreed upon. 

e. Shipping costs will be the responsibility of the buyer, unless otherwise agreed upon. Any special packaging will be the responsibility of the artist, unless otherwise agreed upon.
